Terms of Service

Last updated · Signet Technologies Limited

The short version

  • These Terms are a business agreement with Signet Technologies Limited, a Hong Kong company.
  • You own your data. We process your End Users’ data only on your instructions, under our Data Processing Addendum.
  • You must tell your End Users about device identification and get any consent the law requires, and you must not use Signet Shield for advertising tracking, eligibility decisions or surveillance.
  • Pricing is prepaid in AUD: you top up Credit from A$50 and each Check costs A$0.10. There is no subscription, and you can close your account at any time.
  • Hong Kong law applies. Disputes go to HKIAC arbitration in Hong Kong.

This summary is for convenience only. The full text below governs.

1. Agreement to these terms

These Terms of Service (the “Terms”) form a binding agreement between Signet Technologies Limited, a company incorporated in Hong Kong with its registered office at [Unit / Floor, Building, Street], [District], Hong Kong SAR (“Signet Shield,” “we,” “us” or “our”), and the person or entity that accepts them (“Customer” or “you”).

You accept these Terms by creating an account, clicking to accept them, signing an order form that references them, or using the Services. If you accept on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” refers to that organisation.

The Services are provided for business purposes only. You confirm that you are not entering into these Terms as a consumer.

2. Definitions

  • “Services” means the Signet Shield device identification and risk-signal products, including our client agents and SDKs, APIs, webhooks, dashboard, documentation and any related support.
  • “Order Form” means an ordering document or online checkout that specifies a top-up, any volume pricing and any special terms.
  • “Customer Data” means data submitted to the Services by or for you, including data collected by the client agent from visitors to your properties (“End Users”), and the results the Services return.
  • “Customer Properties” means the websites, applications and systems on which you deploy the Services.
  • “Check” means a single identification request made to the Services by our client agent or SDK on a Customer Property.
  • “Credit” means the prepaid balance in your account, which is used to pay for Checks.
  • “Documentation” means our then-current technical and usage documentation for the Services.
  • “DPA” means our Data Processing Addendum, which forms part of these Terms.

3. Accounts

You must give us accurate and complete registration information and keep it up to date. You are responsible for all activity under your account, for keeping passwords and API keys confidential, and for the acts and omissions of your users. Secret API keys must be kept on your servers and never exposed in client-side code.

Tell us promptly at security@signet.example.com if you suspect unauthorised access to your account or keys. We may require you to rotate compromised keys.

4. The Services

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right, while your account is active, to access and use the Services, and to deploy our client agents and SDKs on Customer Properties, solely for your internal business purposes and in accordance with the Documentation.

Promotional credit

If we give you free or promotional Credit, it is provided “as is,” has no cash value, is used before any Credit you have paid for, and may expire or be withdrawn as we tell you when we provide it.

Beta features

Features we identify as beta, preview or early access are provided for evaluation, may change or be withdrawn, are not covered by any service level commitment, and are excluded from our warranties and indemnities.

Changes to the Services

We continually improve the Services and may change them. We will give at least 30 days’ notice before materially reducing the core functionality of the Services, and at least 90 days’ notice before retiring a generally available API version.

5. Your responsibilities and End User privacy

Device identification involves processing information about End Users. You are responsible for your use of the Services and of the results they return, and you must:

  • comply with all laws that apply to you and your End Users, including the Personal Data (Privacy) Ordinance (Cap. 486), the GDPR, the ePrivacy Directive and its national implementations, and US state privacy laws;
  • provide End Users with a clear and legally adequate privacy notice that describes your use of device identification and fraud-prevention technology, and obtain any consent the law requires before deploying the client agent;
  • have a valid legal basis for each purpose for which you use the Services, and honour End User rights requests relating to Customer Data; and
  • make your own decisions about End Users. The Services provide signals and scores; they do not decide whether to allow, block or challenge a user. You are responsible for those decisions, for providing any human review the law requires, and for offering End Users a way to contest decisions that significantly affect them.

6. Acceptable use

You must not, and must not allow anyone else to, use the Services to:

  • track individuals across unrelated websites or apps for advertising, or build advertising or marketing profiles;
  • determine eligibility for credit, employment, insurance, housing, education or healthcare, or use the Services as a consumer report;
  • infer or process special categories of personal data, such as health, religion, sexual orientation, ethnicity or political opinions;
  • harass, stalk, surveil, discriminate against or unlawfully monitor any person;
  • de-anonymise individuals or re-identify End Users who have exercised a legal right to object to or opt out of tracking;
  • sell, license or disclose Customer Data or results to third parties except as needed for your own fraud prevention and security;
  • reverse engineer, decompile or attempt to discover the source code, signals or models of the Services, except where the law expressly permits it;
  • build a competing product, or benchmark the Services for publication without our prior written consent;
  • circumvent usage limits, security controls or API key restrictions, or interfere with the integrity or performance of the Services; or
  • upload malicious code or use the Services in breach of any law or third-party right.

7. Fees, billing and taxes

The Services are paid for in advance with Credit. Prices are shown on our pricing page or in your Order Form and, unless otherwise stated, are quoted and payable in Australian dollars (AUD).

  • Top-ups. You may purchase Credit in any whole-dollar amount from a minimum of A$50, in A$1 increments. Larger top-ups or volume pricing may be agreed in an Order Form.
  • Usage. Each Check is deducted from your Credit at the price in effect when the Check is made (currently A$0.10 per Check). Server API look-ups, webhooks and dashboard use do not consume Credit.
  • Zero balance. We will notify you when your Credit is running low. When it reaches zero, further Checks are declined until you top up. We do not bill you in arrears for usage.
  • Expiry. Paid Credit does not expire while your account remains active.
  • Refunds. Credit is non-refundable and cannot be exchanged for cash, except as stated in the Term, suspension and termination section or where the law requires otherwise.
  • Taxes. Prices exclude taxes. Any goods and services, value-added, sales or similar taxes that apply are shown at checkout. If you must withhold tax, you will gross up your payment so that we receive the full amount.
  • Payment. Top-ups are charged when you make them, using the payment method you provide. Amounts due under an Order Form are payable within 30 days of invoice.
  • Price changes. We may change the price per Check with at least 30 days’ notice. Credit purchased before the change takes effect is honoured at the price that applied when you bought it.

8. Customer Data and data protection

As between the parties, you own Customer Data. You grant us a worldwide, limited licence to host, copy, process and display Customer Data as needed to provide, secure and support the Services and as otherwise described in these Terms.

We process personal data within Customer Data as your data processor in accordance with the DPA, which is incorporated into these Terms. A copy is available on request from legal@signet.example.com. Our handling of personal data about you and your users as account holders is described in our Privacy Policy.

We may create and use aggregated or de-identified data derived from use of the Services, including fraud and bot patterns, to operate, secure and improve the Services, provided that it does not identify you, your End Users or any individual.

9. Intellectual property

We and our licensors own all rights, title and interest in the Services, Documentation, and all related technology and intellectual property. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

If you give us feedback or suggestions, we may use them without restriction or obligation to you.

Unless you opt out by writing to legal@signet.example.com, we may identify you as a customer, including by displaying your name and logo on our website and in marketing materials.

10. Confidentiality

Each party will protect the other’s non-public business, technical and financial information that is marked confidential or would reasonably be understood to be confidential, using at least reasonable care. Each party will use it only to perform under these Terms and disclose it only to employees, contractors and advisers who need to know it and are bound by similar obligations. These obligations do not apply to information that is or becomes public without fault, was already known, is independently developed or is lawfully received from a third party. A party may disclose confidential information where required by law, after giving reasonable notice where permitted.

11. Third-party services

The Services may interoperate with third-party products, such as single sign-on providers, payment processors or data warehouses, that you choose to connect. Your use of those products is governed by their own terms, and we are not responsible for them or for data you share with them.

12. Term, suspension and termination

These Terms apply from when you first accept them until your account is closed. You may stop using the Services and close your account at any time from the dashboard.

Either party may terminate these Terms by written notice if the other party materially breaches them and does not cure the breach within 30 days of notice, or becomes insolvent, enters liquidation or makes an arrangement with its creditors.

We may suspend access to the Services immediately, in whole or in part, if we reasonably believe that your use breaches the Acceptable Use section, poses a security risk to the Services or others, or could expose us to legal liability. We will limit any suspension to what is reasonably necessary and restore access once the issue is resolved.

On termination, your right to use the Services ends and any unpaid amounts become due. If we terminate for convenience, or you terminate because of our uncured material breach, we will refund any unused paid Credit. Unused Credit is otherwise forfeited when your account is closed. For 30 days after termination you may export Customer Data through the dashboard or API, after which we will delete it in accordance with the DPA. Sections that by their nature should survive termination will survive.

13. Warranties and disclaimers

We warrant that, while you have paid Credit, the Services will perform materially in accordance with the Documentation. If they do not, you must notify us, and your exclusive remedy will be for us to use reasonable efforts to correct the non-conformity or, if we cannot, to let you close your account and receive a refund of any unused paid Credit.

Except as expressly stated in these Terms, the Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. Device identification and risk signals are probabilistic: we do not warrant that the Services will identify every device, detect all fraud or bots, or be error-free or uninterrupted.

14. Indemnities

By us. We will defend you against any third-party claim alleging that the Services, as provided by us, infringe that party’s intellectual property rights, and pay any damages finally awarded or agreed in settlement. If such a claim is made or likely, we may modify the Services, obtain a licence, or end your access to the affected Services and refund any unused paid Credit. This obligation does not apply to claims arising from Customer Data, your combination of the Services with other products, modifications not made by us, or use in breach of these Terms.

By you. You will defend us against any third-party claim, including by a regulator or End User, arising from Customer Data, your failure to provide notices or obtain consents required by law, decisions you make using the Services, or your breach of the Acceptable Use section, and pay any resulting damages, fines and costs finally awarded or agreed in settlement.

The indemnified party must promptly notify the indemnifying party of the claim, give it sole control of the defence and settlement (provided that no settlement may impose an obligation or admission on the indemnified party without its consent), and provide reasonable cooperation at the indemnifying party’s expense.

15. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill or data, however caused, even if advised of their possibility.

Each party’s total liability arising out of or relating to these Terms will not exceed the greater of the amounts paid by you to us in the 12 months before the event giving rise to the liability, and A$100.

These limitations do not apply to your payment obligations, a party’s indemnity obligations, breach of the Acceptable Use or Confidentiality sections, or liability for fraud, gross negligence or wilful misconduct. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the Control of Exemption Clauses Ordinance (Cap. 71).

16. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new effective date and, for material changes, give account holders at least 30 days’ notice by email or in the dashboard. If you do not agree to the changes, you may close your account before they take effect and we will refund any unused paid Credit. Continued use of the Services after that date means you accept the updated Terms. Changes do not affect Order Forms already signed.

17. Governing law and disputes

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region.

The parties will first try in good faith to resolve any dispute through discussions between senior representatives for at least 30 days. Any dispute, controversy, difference or claim arising out of or relating to these Terms, including their existence, validity, interpretation, performance, breach or termination, or any dispute regarding non-contractual obligations, that is not resolved in that time shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.

Nothing in this section prevents either party from seeking urgent injunctive or other interim relief from any court of competent jurisdiction, or from bringing proceedings to recover undisputed fees.

18. General

  • Entire agreement. These Terms, together with any Order Form and the DPA, are the entire agreement between the parties about their subject matter. If there is a conflict, the Order Form prevails, then the DPA (for data protection matters), then these Terms. Terms in your purchase orders do not apply.
  • Assignment. Neither party may assign these Terms without the other party’s consent, except to an affiliate or a successor in a merger, acquisition or sale of substantially all of its assets, on notice.
  • Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, other than payment obligations.
  • Notices. We may give notices by email to your account owner or through the dashboard. You must send legal notices to legal@signet.example.com, with a copy to our registered office.
  • Export controls and sanctions. You confirm that you are not located in, or owned or controlled by persons in, a country or region subject to comprehensive sanctions, and are not on any applicable restricted-party list. You will not use the Services in breach of applicable export control or sanctions laws.
  • Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce or enjoy the benefit of any of their terms.
  • Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
  • Severability and waiver. If any provision is held unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver.
  • Language. These Terms are written in English. If we provide a translation, the English version prevails.
